• "Service" refers to our AI Agent software for machine learning development, including all features, functionalities, user interfaces, algorithms, models, and proprietary technology

• "VPC Container" refers to the Docker container deployment of our Service for private cloud/local environments
• "Proprietary Technology" includes but is not limited to our AI algorithms, machine learning models, software architecture, and any related intellectual property

3.1 Eligibility Requirements

To use the Service, you must:

• Have basic understanding of software and machine learning engineering
• Have the legal capacity to enter into these Terms

For VPC Container deployments, you acknowledge and agree that:

• The container contains our proprietary software and algorithms
• You are granted access solely for the purpose of running the Service

• You may not create derivative works based on our proprietary technology
• You may not distribute, share, or provide access to the container to third parties
• All intellectual property rights remain exclusively with us

4.3 Prohibited Uses

You may not:

• Use the Service to generate illegal, sexual, harmful, or toxic content
• Engage in any illegal activities through the Service
• Attempt to gain unauthorized access to the Service or its underlying systems
• Copy, modify, reverse engineer, decompile, or create derivative works of the Service
• Extract, analyze, or attempt to recreate our algorithms or proprietary technology
• Use the Service in any way that could damage or overburden it
• Share access credentials with unauthorized users
• Attempt to bypass any security measures or access controls
• Use automated tools to extract or analyze our software components

• Not disclose, share, or discuss our proprietary technology with third parties
• Not attempt to understand, analyze, or document our underlying algorithms
• Not use any knowledge gained from our technology to develop competing solutions
• Implement reasonable security measures to protect access to VPC Containers
• Report any unauthorized access or security breaches immediately

5.3 User Rights to Generated Content

• You retain all rights to Content generated through your use of the Service
• You may share, distribute, license, or use the outputs as per your requirements
• You grant us a limited license to host, store, and display your Content solely for providing the Service

5.4 Enforcement of Rights

We reserve the right to:

• Monitor compliance with these intellectual property provisions
• Investigate suspected violations and take appropriate legal action
• Seek injunctive relief and monetary damages for any violations
• Terminate access immediately upon discovery of IP violations

6.1 Trade Secret Protection

You acknowledge that the NEO Software contains valuable trade secrets, including but not limited to:

• Proprietary AI algorithms and machine learning models
• Software architecture and system design
• Data processing methodologies and optimization techniques
• Model training and deployment strategies
• Performance optimization and scaling methods

6.2 Confidentiality Obligations

You agree to maintain the confidentiality of our trade secrets and proprietary information by:

• Not disclosing any technical details or methodologies to third parties
• Not documenting, recording, or creating records of our proprietary technology
• Not using any knowledge gained to develop competing or similar solutions
• Limiting access to VPC Containers to authorized personnel only
• Implementing appropriate security measures to prevent unauthorized access

6.3 Survival of Obligations

These confidentiality obligations shall:

• Survive termination of these Terms indefinitely
• Apply to all employees, contractors, and agents under your control
• Remain in effect regardless of how the information was obtained

7.1 Service Level Agreement

• We strive to maintain Service availability but do not guarantee specific uptime
• Maintenance windows will be announced at least 2 days in advance
• Service interruptions may occur; major interruptions will be communicated

7.2 Modifications to Service

We reserve the right to:

• Modify or discontinue any feature of the Service

• Change or remove Content at our discretion

8.1 Service Disclaimer

• Any third-party claims related to your use of the Service

10.1 Term

These Terms remain in effect while you use the Service.

10.2 Termination for Cause

We may immediately terminate your access for:

• Attempted reverse engineering or code extraction
• Unauthorized sharing or distribution of VPC Containers
• Any other material breach of these Terms

10.3 General Termination

10.4 Effect of Termination

Upon termination:

• Your right to access the Service will cease immediately
• You must cease all use of VPC Containers and delete all copies
• Confidentiality and IP protection obligations survive indefinitely
• You remain liable for any violations that occurred during the term
• You are responsible for retaining copies of your Content

We reserve the right to modify these Terms at any time. We will notify users of any material changes via:

• Email notification
• Notice on our website
• Notice in the Service dashboard

Continued use of the Service after changes constitutes acceptance of modified Terms.

12.1 Governing Law

These Terms are governed by the laws of Delaware, United States.
